“You” and “Your” refer to the client, merchant, customer, visitor, service user, or person using our services or website.
If you do not agree to these Terms, you should not use our services or website.
1. Disclaimer
While we endeavour to keep our services and information accurate and up to date, Scorder makes no warranties of any kind regarding completeness, reliability, or suitability. Use of our services is at your own risk.
2. Amendment of Terms
We reserve the right to modify, update, or amend these Terms at any time. Continued use of our services after changes are published will be deemed acceptance of the updated Terms.
3. Merchant Responsibilities
Merchants using Scorder’s POS, loyalty, or online ordering services agree to:
Provide accurate and lawful business information when registering.
Ensure all product listings, pricing, and promotions are accurate and comply with Australian law.
Handle fulfilment of customer orders, refunds, and disputes directly with their customers in accordance with the Australian Consumer Law.
Securely handle customer data accessed through the platform and comply with all relevant privacy and data protection laws.
Maintain compliance with food safety, workplace, and other regulatory requirements relevant to their business.
Merchants acknowledge that Scorder provides the platform but does not operate their business or guarantee sales performance.
4. Customer Responsibilities
Customers using Scorder’s loyalty or ordering services agree to:
Provide accurate personal and payment details when using the platform.
Ensure they have the authority to make purchases or redeem loyalty rewards.
Direct any issues regarding product quality, fulfilment, or refunds to the relevant merchant.
Scorder is not responsible for the quality, accuracy, or delivery of goods and services provided by merchants.
5. Limitation of Liability
Scorder is not responsible for:
Errors or omissions in merchant listings or promotions.
Product quality, delivery, or fulfilment managed by merchants.
Losses or damages arising from your reliance on our services or third-party links.
To the fullest extent permitted by law, Scorder’s liability is limited to resupplying the service or covering the cost of having the service resupplied.
6. Indemnity
You agree to indemnify and hold Scorder harmless from claims, losses, or damages arising from your breach of these Terms, misuse of the platform, or disputes between merchants and customers.
7. Australian Consumer Law
To the extent permitted by law, Scorder’s liability for any breach of these Terms is limited to:
the supply of the services again, or
the cost of having the services supplied again.
This limitation applies in accordance with the Competition and Consumer Act 2010 (Cth).
8. Refunds
For merchants: Platform subscription fees are generally non-refundable, except as required under Australian Consumer Law.
For customers: Refunds for products or services purchased via Scorder are the responsibility of the merchant. Scorder may assist in facilitating communication but is not the seller of record.
9. Links to Third-Party Websites
Our services may link to external sites. These are provided for convenience only. Scorder does not endorse or accept responsibility for third-party content.
10. Privacy
We collect and use data in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). Merchants are responsible for ensuring their own compliance when handling customer data.
11. Copyright
All intellectual property on the Scorder website and services, including designs, logos, and trademarks, remain the property of Scorder. You may not copy, distribute, or exploit content without express written permission.
Permitted use includes:
Printing or downloading extracts for personal, non-commercial use.
Sharing content with third parties for personal use, provided the website is acknowledged as the source.
Any unauthorised use may result in legal action.
12. Exclusion of Unenforceable Terms
If any clause is found unenforceable under Australian law, the remainder of these Terms shall continue in effect.
13. Jurisdiction
These Terms are governed by the laws of Australia. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Commonwealth of Australia and its States and Territories.
14. Payment Processing
Reseller Role
Scorder acts as a reseller and technology provider for third-party payment processing services (such as EFTPOS terminals and online payment gateways). We are not a bank, financial institution, or licensed payment processor.
Third-Party Agreements
All payment processing is carried out by third-party providers. By using Scorder’s payment solutions, you agree to also be bound by the terms and conditions of the relevant payment provider.
Merchant Responsibilities
Merchants are solely responsible for ensuring their compliance with all relevant banking, financial, and tax obligations.
Merchants must maintain valid agreements with the payment provider to continue using Scorder’s payment services.
Merchants are responsible for ensuring sufficient funds are available for settlement and chargebacks.
No Trust Account / No Custody of Funds
Scorder does not operate a trust account and does not hold, manage, or control customer or merchant funds at any time.
All payments, settlements, and chargebacks are handled directly by the appointed third-party payment provider.
Merchants acknowledge that Scorder is not responsible for delays, losses, or disputes relating to funds held or transferred by third-party providers.
Scorder’s Liability
Scorder is not responsible for settlement delays, chargebacks, refunds, or disputes between merchants, customers, and payment providers.
We do not guarantee uninterrupted availability of payment processing, as these services depend on third-party systems.
To the extent permitted by law, Scorder disclaims liability for any losses arising from payment processing, except where directly caused by Scorder’s own negligence.
Fees & Charges
Scorder may charge merchants service fees for the use of payment solutions, which will be disclosed in your merchant agreement.
Payment providers may also charge transaction or service fees separately. Merchants are responsible for reviewing and accepting these charges.
